Terms of Service

1. Agreement to Terms

By accessing or using the Patimalla, Inc. website (the "Site") or any services offered by Patimalla, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the Site or our services.

2. Description of Services

Patimalla, Inc. provides IT consulting, software development, project management, business process analysis and automation, QA/IV&V testing, and data analytics and reporting services. The specific services provided will be defined in individual service agreements or statements of work.

3. Use of Website

3.1 Permitted Use

You may use the Site for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to the Site or its systems
• Interfere with or disrupt the operation of the Site
• Collect or harvest any information from the Site without authorization
• Transmit any material that contains viruses or harmful code
• Use automated systems or software to extract data from the Site

3.2 Intellectual Property

The Site and its original content, features, and functionality are owned by Patimalla, Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without our prior written permission.

4. Service Engagements

4.1 Proposals and Estimates

Any proposals, estimates, or quotations provided by Patimalla, Inc. are valid for 30 days from the date of issue unless otherwise stated. Such proposals do not constitute a binding offer and are subject to the execution of a formal service agreement.

4.2 Service Agreements

All service engagements are subject to the terms of a separate service agreement or statement of work that will govern the specific engagement. These Terms are supplemental to and do not replace the terms of any service agreement.

4.3 Client Obligations

Clients agree to:

• Provide accurate and complete information as reasonably required
• Designate appropriate personnel for project communication
• Provide timely feedback and approvals as needed
• Ensure access to necessary systems and facilities
• Comply with all applicable laws and regulations

5. Confidentiality

Each party agrees to keep confidential any proprietary or sensitive information disclosed by the other party in connection with services provided. This obligation does not apply to information that is:

• Publicly available through no fault of the receiving party
• Rightfully received from a third party without restriction
• Independently developed without use of confidential information
• Required to be disclosed by law or court order

6. Payment Terms

6.1 Fees and Payment

Fees for services will be specified in the applicable service agreement. Unless otherwise agreed:

• Payment is due within 30 days of invoice date
• Late payments may incur interest at the rate of 1.5% per month
• We reserve the right to suspend services for overdue accounts

6.2 Expenses

Reasonable out-of-pocket expenses incurred in providing services will be reimbursed as specified in the service agreement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. This warranty extends for 90 days from service completion or as otherwise specified in the service agreement.

7.2 Disclaimer

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability for any claims arising from or related to services provided shall not exceed the amount of fees paid by you for the specific service giving rise to the claim
• Our total liability for any claims related to the Site shall not exceed $100 USD
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities

9. Indemnification

You agree to indemnify and hold harmless Patimalla, Inc., its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Site or services
• Your violation of these Terms
• Your infringement of any third-party rights

10. Termination

10.1 Website Access

We may terminate or suspend your access to the Site at any time, without notice, for any reason, including violation of these Terms.

10.2 Service Agreements

Termination of service engagements will be governed by the terms of the applicable service agreement.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Loudoun County, Virginia.

12. Dispute Resolution

Before filing a claim, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, either party may pursue binding arbitration or litigation as appropriate.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site. Your continued use of the Site after changes are posted constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Unenforceable provisions will be modified to reflect the parties' intent as closely as possible.

15. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Patimalla, Inc. regarding use of the Site and supersede any prior agreements.
